Welcome to the FoodLine.sg website (the “Website”). This Website is provided solely to assist customers in gathering catering information, posting opinions of catering related issues, orders and for no other purposes. The terms “we”, “us”, “our” and “FoodLine” refer to FoodLine.sg Pte Ltd., and our corporate affiliates and websites (collectively, “FoodLine”). The term “you” refers to the customer visiting the Website and/or contributing content on this Website.

This Website is offered to you conditioned upon your acceptance without modification of any/all the terms, conditions, and notices set forth below (collectively, this “Agreement”). By accessing or using this Website in any manner, you agree to be bound by this Agreement. Please read this Agreement carefully. If you do not accept all of the terms and conditions of this Agreement, you are not authorized to use this Website. Be sure to return to this page periodically to review the most current version of this Agreement. We reserve the right at any time, at our sole discretion, to change or otherwise modify this Agreement in accordance with the terms and conditions herein and your continued access or use of this Website signifies your acceptance of the updated or modified Agreement.

As a condition of your use of this Website, you warrant that all information supplied by you on this Website is true, accurate, current and complete, Copying, transmission, reproduction, republication, posting or redistribution of the content and information on this Website (including, but not limited to, messages, data, information, text, music, sound, photos, graphics, video, maps, icons, software, code or other material) (the “Site Content”) or any portion thereof is strictly prohibited without the prior written permission of FoodLine. Through the Website, FoodLine.sg provides an online platform through which you can browse different types of caterers and place orders with such Caterers. By placing an order through the Website, you make an offer to order at the price listed for such menus and such other terms and conditions stated on the Website, which shall become a binding contract when accepted by FoodLine.sg, which in turn means the order has been accepted by the Caterer. We will indicate the acceptance of your catering order via an e-mail confirmation. We reserve the right to reject orders as set out below.

When rendering our services, the information that we disclose about Caterers is based on the information provided to us by our suppliers or providers (including but not necessarily limited to the Caterers, their representatives, distributors, destination management companies (DMCs), channel managers, partners, etc.). As such, the Caterers or their representatives are given access to an extranet or other connectivity solution through which they are fully responsible for updating all prices, availability, description, pictures, and other information which is displayed on the Website. Although we will use commercially reasonable skill and care in performing our services we will not verify if, and cannot guarantee that, all information is accurate, complete, correct or up to date, nor can we be held responsible for any errors (including manifest and typographical errors), interruptions (whether due to any (temporary and/or partial) breakdown, repair, upgrade or maintenance of the Website or otherwise), inaccurate, misleading or untrue information or non-delivery of information. Each Caterer remains responsible at all times for the accuracy, completeness and correctness of the Caterer information displayed on the Website. Information is uploaded by FoodLine.sg, and jointly vetted with the Caterer. Changes in market conditions or circumstances may occur on short notice which may make information displayed on the Site inaccurate or outdated. In case of problems, our Customer Service will use its commercially reasonable efforts to assist you and serve as a point of contact with the Caterer. If you have made payment to us through our online payment methods, you may contact us directly in the event of disputes and we will be responsible for any refunds or mediation required.

The Website does not constitute and should not be regarded as a recommendation or endorsement of (the quality, service level or rating of) any Caterer listed on the Website. We hereby expressly disclaim any representation, warranty or undertaking in relation to the quality, status or adequacy of any Website listed on the Website. The Caterers can be ranked on the Website according to different criteria (point rating, reviews, etc.). The default ranking is based on an automated algorithm which may be updated or amended from time to time.

Caterers reserve the right not to accept customers or orders (or in exceptional cases to cancel confirmed ones) at their discretion and for whatever (legal) reason without the need to justify such refusal. Typical reasons for rejecting a customer or order include, but are not limited to: Caterer request, breach of the Terms of Use etc.

In rare cases, we may also have to cancel or reject an order due to “obvious errors”, independent of the origin of such errors. For clarity, an obvious error is a mistake on the Website (e.g. in terms of price) which a reasonable person would not consider to be normal. Whether to cancel or reject an order for this reason is in FoodLine’s sole discretion.

Be sure to let the Caterer know any special requests or requirements you have for order.

The Site Content, as well as the infrastructure used to provide such content and information, is proprietary to us. You agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through this Website. Additionally, you agree not to:

1. use this Website or its contents for any commercial purpose;
2. access, monitor or copy any content or information of this Website using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
3. violate the restrictions in any robot exclusion headers on this Website or bypass or circumvent other measures employed to prevent or limit access to this Website;
4. take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure;
5. deep-link to any portion of this Website for any purpose without our express written permission;
6. “frame”, “mirror” or otherwise incorporate any part of this Website into any other website without our prior written authorization; or
7. attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by FoodLine in connection with this Website or the services except as permitted under applicable law.

FoodLine believes in protecting your privacy. Any personal information you post on this Website will be used in accordance with our privacy policy.

Information We Collect

We collect Personal Data about you that you provide to us while using the Website. Personal Data may include your name, address, phone number, e-mail address. We also collect non-personally identifiable information, which may be linked to your Personal Data, including search preferences related to specific searches, as well as other generic Internet usage related data.

Protecting Your Personal Data

To prevent unauthorized access, we maintain reasonable physical, electronic and organizational procedures to protect Personal Data against accidental or unlawful destruction or accidental loss, alteration, or unauthorized disclosure or access.

How We Use the Information We Collect

We use Personal Data and other information collected through the Website (a) to provide you with the requested products and services (mainly to process your order), (c) to provide you with information about our products and services on the Website and to communicate with you to the extent necessary to provide such requested products and services, (d) to build features that will make the services available on the Site easier to use and (e) for an improved user experience and general optimization purposes. This includes faster order requests, better customer support and timely notice of new services and special offers. From time to time, FoodLine may contact you to offer special savings or promotions to you as a Website user, where you have indicated your consent to receiving such communications. If you would prefer not to receive notices of special savings or promotions, you may simply opt out from receiving those by replying to FoodLine through electronic mail. In accordance to the Personal Data Protection Act 2012 (PDPA), FoodLine.sg Pte Ltd will never release your private data without your consent and knowledge.

Removal of your Personal Data

If you wish to remove your personal data from FoodLine, please email us at sales@foodline.sg with the subject "Request to remove Personal Data" and provide your name/email/contact number and/or other information that can assist us to identify the data you wish to remove. We will review your request and remove your personal data within 7 working days, provided sufficient information is provided for us to act on the request. We appreciate hearing from you. By completing an order, you agree to receive an invitation email to complete our review form which we will may send to you after your order is completed. Submission of the review is optional. Please be aware that by submitting content to this Website by postings on this Website or otherwise, including any caterer reviews, questions, photographs or videos, comments, suggestions, ideas or the like contained in any submissions (collectively, “Submissions”), you grant FoodLine and its affiliates a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sublicensable right to (a) use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such Submissions throughout the world in any media, now known or hereafter devised; and (b) use the name that you submit in connection with such Submission. You acknowledge that FoodLine may choose to provide attribution of your comments or reviews at our discretion. You further grant FoodLine the right to pursue at law any person or entity that violates your or FoodLine's rights in the Submissions by a breach of this Agreement. You acknowledge and agree that Submissions are non-confidential and non-proprietary. If it is determined that you retain moral rights (including rights of attribution or integrity) in the Content or Submissions, you hereby declare that (a) you do not require that any personally identifying information be used in connection with the Content or Submissions, or any derivative works of or upgrades or updates thereto; (b) you have no objection to the publication, use, modification, deletion and exploitation of the Content or Submissions by FoodLine or its licensees, successors and assigns; (c) you forever waive and agree not to claim or assert any entitlement to any and all moral rights of an author in any of the Content or Submissions; and (d) you forever release FoodLine, and its licensees, successors and assigns, from any claims that you could otherwise assert against FoodLine by virtue of any such moral rights. ALL CONTENT, INCLUDING SOFTWARE, PRODUCTS, SERVICES, INFORMATION, TEXT AND RELATED GRAPHICS CONTAINED WITHIN OR AVAILABLE THROUGH THE SITE ARE PROVIDED TO YOU ON AN "AS IS," "AS AVAILABLE" BASIS. FOODLINE IS NOT RESPONSIBLE FOR ANY FAILURES CAUSED BY SERVER ERRORS, MISDIRECTED OR REDIRECTED TRANSMISSIONS, FAILED INTERNET CONNECTIONS, INTERRUPTIONS IN THE TRANSMISSION OR RECEIPT OF RESERVATIONS OR, ANY COMPUTER VIRUS OR OTHER TECHNICAL DEFECT, WHETHER HUMAN OR TECHNICAL IN NATURE.

NOTHING IN THIS AGREEMENT SHALL EXCLUDE OR LIMIT FOODLINE'S LIABILITY FOR (I) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (II) FRAUD; OR (III) WILFUL DEFAULT OR GROSS NEGLIGENCE (IV) ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

THESE TERMS AND CONDITIONS AND FOREGOING LIABILITY DISCLAIMER, DO NOT AFFECT MANDATORY LEGAL RIGHTS THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

The limitation of liability reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these terms is found to have failed of its essential purpose. The limitations of liability provided in these terms inure to the benefit of FoodLine and its corporate affiliates, successors, and assigns.

You agree to defend and indemnify FoodLine and its affiliates and any of their officers, directors and employees from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:

• your breach of this Agreement or the documents referenced herein;
• your violation of any law or the rights of a third party; or
• your use of this Website.

Unless otherwise specified, the materials on this Website are presented solely to provide information regarding and to promote FoodLine’s services, websites, partners and other products available in Singapore, its territories, possessions and protectorates. This Website is controlled and operated by FoodLine from its office in Singapore. FoodLine makes no representation that materials on this Website are appropriate or available for use outside Singapore. Those who choose to access this Website from outside Singapore do so on their own initiative and are responsible for compliance with local laws, if and to the extent that local laws are applicable.

Such Software is the copyrighted work of FoodLine, or other third parties as identified. Your use of such Software is governed by the terms of the end user license agreement, if any, which accompanies, or is included with, the Software (“License Agreement”). You may not install or use any Software that is accompanied by or includes a License Agreement unless you first agree to the License Agreement terms. For any Software made available for download on this Website not accompanied by a License Agreement, we hereby grant to you, the user, a limited, personal, nontransferable license to use the Software for viewing and otherwise using this Website in accordance with these terms and conditions and for no other purpose.

Please note that all Software, including, without limitation, all HTML, XML, Java code and Active X controls contained on this Website, is owned by FoodLine, its affiliates and/or third parties and is protected by copyright laws and international treaty provisions. Any reproduction or redistribution of the Software is expressly prohibited, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENSE AGREEMENT.

Portions of FoodLine mobile software may use copyrighted material, the use of which FoodLine acknowledges. In addition, there are specific terms that apply to use of certain FoodLine mobile applications. FoodLine may change, add or delete the terms and conditions of this Agreement or any portion thereof from time to time in its sole discretion where it deems it necessary and reasonable for legal, general regulatory and technical purposes, or due to changes in the services provided or nature or layout of this Website. Thereafter, you expressly agree to be bound by any such amended terms and conditions. FoodLine may change, suspend or discontinue any aspect of the FoodLine service at any time, including availability of any feature, database or content. FoodLine may also impose limits on certain features and services or restrict your access to all or parts of this Website or any other FoodLine web site without notice or liability for technical or security reasons, to prevent against unauthorised access, loss of, or destruction of data or where we consider in our sole discretion that you are in breach of any provision of this Agreement or of any law or regulation and where it decides to discontinue providing a service. Your continued use of FoodLine now, or following the posting of any such notice of any changes will indicate acceptance by you of such modifications. All of our services are rendered by FoodLine.sg Pte. Ltd., which is a private limited liability company, incorporated under the laws of Singapore and having its registered address at 60 Paya Lebar Road #09-41 Paya Lebar Square Singapore 409051 and registered with the Accounting and Corporate Regulatory Authority of Singapore under company registration number 201334361E.

The Terms of Use and the provision of our services shall be governed by and construed in accordance with the laws of Singapore without reference to Singapore conflict of laws rules, and any dispute arising out of the Terms of Use and our services shall exclusively be submitted to the competent courts in Singapore. The Contracts (Rights of Third Parties) Act (Cap. 53B) is expressly excluded and shall not apply to the Terms of Use.

You agree that no joint venture, agency, partnership, or employment relationship exists between you and FoodLine and/or its affiliates as a result of this Agreement or use of this Website.

Our performance of this Agreement is subject to existing laws and legal process, and nothing contained in this Agreement limits our right to comply with law enforcement or other governmental or legal requests or requirements relating to your use of this Website or information provided to or gathered by us with respect to such use. To the extent allowed by applicable law, you agree that you will bring any claim or cause of action arising from or relating to your access or use of this Website within two (2) years from the date on which such claim or action arose or accrued or such claim or cause of action will be irrevocably waived.

If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remaining provisions in this Agreement shall continue in effect.

This Agreement (and any other terms and conditions referenced herein) constitutes the entire agreement between you and FoodLine with respect to this Website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and FoodLine with respect to this Website. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

These Terms and Conditions are available in the language of this Website. The specific terms and conditions under to which you signify your agreement will not be individually stored by FoodLine.

This Website may not always be updated on a periodic or regular basis and consequently is not required to register as editorial product under any relevant law.

Fictitious names of companies, products, people, characters, and/or data mentioned on this Website are not intended to represent any real individual, company, product, or event.

Any rights not expressly granted herein are reserved.
